3. Licensing terms and conditions
3.1 Available licence periods
Our user licences offer flexible access adapted to different training needs:

3.2 Activation and use
Licence security :
- Once a licence has been activated, it is linked in the following way exclusive and final to a specific device
- This link guarantees data security and prevents unauthorised reinstallation.
- Any attempt to circumvent these restrictions is strictly prohibited et constitue une violation des présentes CGV
- Violations will result in the immediate and permanent suspension of the licence., without any refund whatsoever
⚠️ Device reset: In the event of a complete factory reset of the device, whether voluntary or due to a technical malfunction, the activated license is automatically disabled. The client must inform Immergence Studio within 7 working days via contact@pro-xr.com to proceed with a reactivation.
- ✅ Reset following a confirmed manufacturer bug: Free reactivation granted upon presentation of proof (Meta support ticket, technical report), up to'one reactivation per licence and per year
- 🚫 Voluntary or Culpable Reset by the Customer: Reactivation subject to billing at the current rate, with no refund for the unused period
- 🚫 Failure to report within the specified timeframe: Reactivation may be refused or charged for, at the sole discretion of Immergence Studio.
Conservation responsibility The client is solely responsible for the safekeeping and proper use of the device on which the licence is activated. Immergence Studio shall not be held responsible for any loss of access resulting from a failure, loss, or destruction of the device not attributable to Immergence Studio.
3.3 Responsibility of the user
- The user is responsible for installing the licence correctly.
- Activation must be carried out on a compatible device (see list of recommended equipment).
- Immergence Studio cannot be held responsible in the event of incompatibility resulting from equipment that is not recommended.
- The minimum system requirements must be met to ensure correct operation

4.1 Available products

Packages including equipment, licences and onboarding support
4.2 Configuration and compatibility
Minimum recommended specifications :
- VR headsets : Meta Quest 3 (recommended), HTC Vive Pro, Pico 4 Enterprise
- Play area : 2m x 2m minimum for virtual reality
- Login : Stable Wi-Fi (minimum 25 Mbps for streaming)
- Lighting : Optimum ambient lighting for AR tracking

⚠️ Acceptance of T&Cs: By signing the quote issued by Immergence Studio, the client acknowledges having read these General Terms and Conditions of Sale, available at pro-xr.com, and accepts them without reservation. Signing the quote constitutes full and complete acceptance of these General Terms and Conditions of Sale.
5.1 Terms of payment
- All orders: Deposit of 25%% upon order confirmation, balance of 75%% upon delivery or license activation
- Key accounts: Special conditions negotiated according to a framework agreement established in writing prior to any order.
⚠️ Important: All orders will only be processed upon receipt of the deposit. The deposit paid is acquired by Immergence Studio and cannot be refunded in the event of cancellation initiated by the client.
5.2 Delivery times
⚠️ Information : The timescales indicated below are for information purposes only. They may vary depending on stock availability, supplier lead times, and logistical constraints. Immergence Studio cannot be held responsible for any delivery delays, and such delays cannot under any circumstances justify order cancellation or a refund.

6. Return and refund policy
6.1 General principle
The products and services marketed by Immergence Studio are exclusively intended for professional clients acting within the scope of their professional activity. Every buyer expressly acknowledges and declares that they are acting as a professional within the meaning of the Consumer Code, and therefore waive any right of withdrawal provided for in Articles L.221-18 et seq. of the Consumer Code. As such, no returns or refunds will be accepted after order validation, except in the case of a proven defect in the equipment directly attributable to Immergence Studio.
Important information:
- On validating their order, the customer explicitly recognises acting as a professional and waive any consumer right of withdrawal
- No right of withdrawal applies (B2B sales exclusively)
- No returns for personal reasons, inconclusive tests or change of project will be accepted.
- All purchases are considered Firm and final upon validation of the order
- Immergence Studio reserves the right to refuse any order originating from a private individual or a non-professional entity.
⚠️ Mandatory declaration: By placing any order, the customer hereby declares in good faith to be acting in the course of their professional activity. Any false declaration in this regard shall incur the sole responsibility of the customer and shall not give rise to any refund or recourse against Immergence Studio.
6.2 Equipment
The equipment delivered is deemed to be compliant and functional. No returns will be accepted in the absence of a proven technical defect.
- In the event of a technical fault: replacement or repair only
- No refunds will be made
6.3 Digital licences
Licences are digital products that can be activated immediately:
- No activated licence can be reimbursed
- No cancellation after activation
- An exchange can only be offered in the event of a proven technical problem.
6.4 Exceptional cases
Immergence Studio reserves the right, at its sole and absolute discretion, to grant a commercial gesture in circumstances it deems exceptional. This right does not constitute an obligation, a precedent, nor an acknowledgment of a right to refund or return.
⚠️ Important: Any commercial gesture granted exceptionally by Immergence Studio cannot be invoked as a precedent, nor be interpreted as a modification of these T&Cs or an acknowledgment of any right to refund for the client concerned or for any other client.
7. Limitation of liability and warranties
7.1 Use and maintenance
Immergence Studio cannot be held responsible for damage resulting from :
- Improper use : Misuse of training applications
- Equipment not recommended: Uncertified or obsolete equipment
- Unsuitable environment : Insufficient space, inadequate lighting
- User negligence : Lack of maintenance, incorrect handling
- Force majeure : Events beyond our control
7.2 Guarantee of conformity
Our commitments:
- Products complying with advertised specifications
- Applications tested and validated on recommended equipment
- Compliance with current safety standards
- Educational content maintained and improved according to technical and regulatory developments, without a defined frequency commitment
7.3 Technical support
We offer full technical support to ensure :
- Correct installation : Optimum equipment configuration
- Optimum use : An onboarding session included with the delivery, according to the terms and conditions defined in the quote.
- Preventive maintenance : Maintenance tips and best practice
- Software developments : Immergence Studio endeavours to provide updates during the licence period, without this constituting a contractual obligation regarding frequency or content.
7.4 Limitation of liability
Immergence Studio's liability is limited to the amount actually paid by the client under the relevant contract. We cannot be held liable for indirect damages, loss of business, or intangible losses, including in the event of a third-party claim relating to intellectual property rights.
7.5 Warranty of Title — Intellectual Property
Immergence Studio declares that it holds or has the necessary usage rights for the marketing and provision of the FAST XR solution and all of its software solutions.
In the event of legal action by a third party claiming intellectual property rights over all or part of the solution provided, Immergence Studio undertakes to:
- To take the client's side, at their expense, within the scope of this action; ;
- Make best endeavours to ensure the continuity of the client's use of the solution; ;
- Failing that, refund the customer for sums paid for the remaining licence period.
This warranty is strictly limited to the total amount of sums actually paid by the customer under the contract concerned. It does not cover indirect damage, loss of earnings or consequential immaterial losses.
8. Intellectual property rights
8.1 Ownership and protection of our creations
Immergence Studio declares itself to be the author and holder of all intellectual property rights relating to its software solutions. These solutions have been developed independently and are protected by the following rights:

- FAST XR, HELP XR, Risk Hunter XR, Fault Line XR : Software and content
- Algorithms and simulation engines : Proprietary technologies
- Teaching content : Scenarios, exercises, assessments
- Design and interfaces : Visual and ergonomic elements
- Brands and logos : PRO-XR and communication elements
8.2 Formal prohibitions
Actions strictly prohibited:
- 🚫 Unauthorised reproduction: Copying and duplicating software
- 🚫 Reverse engineering : Decompilation, source code analysis
- 🚫 Modification : Alteration of applications or content
- 🚫 Redistribution : Resale and subletting of licences
- 🚫 Unauthorised commercial use : Operating without an appropriate licence
8.3 Rights of use granted
The acquisition of a PRO-XR licence only grants :
- Right of use : Use in accordance with the licence
- Training your staff : Internal educational use
- Integration into your programmes : Under the terms of the licence
- Technical support : Assistance included during the licence validity period
8.4 Prohibition of commercial and competitive exploitation
Strictly prohibited actions without prior written agreement from Immergence Studio:
- 🚫 Competition or prize submission The licensee shall not present or highlight PRO-XR solutions (FAST XR, HELP XR, Risk Hunter XR, Fault Line XR) in the context of any application for a prize, trophy, competition or tender, without prior written authorisation from Immergence Studio.
- 🚫 Unauthorised public communication: All public communication (press, social media, events) referencing PRO-XR solutions as a differentiating or innovative element of the licensee’s business must explicitly mention Immergence Studio as the solution's publisher.
- 🚫 Valuation against competitors: The licensee undertakes not to use PRO-XR solutions to develop, promote or market a competing offer, directly or indirectly.
Any breach of these provisions constitutes an unauthorised commercial use within the meaning of Article 8.2 and exposes the licensee to the sanctions provided for in Article 8.5 of these GTC.
8.5 Penalties for breach
Any infringement of our intellectual property rights may result in :
- Immediate suspension of licence
- Civil and criminal proceedings
- Damages and interest
- Ban on access to our future products
8.6 Protection of material products
In addition to protecting its software, Immergence Studio also holds exclusive rights to the hardware products associated with its immersive solutions:
Protected products :
- Enhanced Extinguishers (actual commercially available extinguishers fitted with our proprietary passive attachment system)
- 🚒 Augmented fire hose (3 in 1 system)
- ⚙️ Parts and fastening systems designed and printed in 3D
- 📦 Complete teaching kits and customised accessories
8.7 Specific Interdictions
Actions strictly forbidden without written authorisation from Immergence Studio:
- 🚫 Reproduction, copying or 3D printing of our parts, prototypes or attachment systems.
- 🚫 Manufacturing or distributing replicas, even partial ones, of augmented fire extinguishers or the augmented lance
- 🚫 Marketing of any derivative product using our designs, concepts or proprietary technologies.
- 🚫 Use of our hardware products for reverse engineering or competitive development purposes.
8.8 Enhanced sanctions
Any reproduction or misappropriation of our material products constitutes an act of fraud. counterfeiting and commercial parasitism. These violations expose the perpetrator to :
- Civil and criminal proceedings (Intellectual Property Code - articles L335-2 et seq.)
- Claim for damages covering the entire loss suffered
- Immediate ban on use and recall of counterfeit products
9. Protection of personal data
The use of our solutions involves the processing of personal data for training purposes. This processing is governed by our Privacy Policy available on pro-xr.com.

- Minimal and transparent data collection
- Advanced information security
- Respect for all your rights (access, rectification, deletion)
- Secure hosting in Europe
- No resale of data to third parties

10. Modification of the general terms and conditions
10.1 Possible developments
Immergence Studio reserves the right to modify its Terms and Conditions of Sale in order to adapt :
- Technical developments to our solutions
- Regulatory changes
- Improving our services
- Developments in the VR/AR training market
10.2 Customer information
Methods of notification :
- 🌐 Website : Publication on pro-xr.com
- 📱 Applications : Information message at launch
10.3 Acceptance of modifications
The new conditions apply:
- Automatically upon new orders as they are published on pro-xr.com
- Licences renewed after the effective date
- Continued use of PRO-XR solutions after publication of the new General Terms and Conditions is considered full and complete acceptance new conditions
⚠️ Important: If the customer disagrees with the new terms, they have 30 days from their publication to terminate their contract. After this period, the new general terms and conditions are deemed to be accepted without reservation.
11. Jurisdiction and applicable law
11.1 Applicable law
These General Terms and Conditions of Sale are subject to the French law.
11.2 Dispute resolution
Out-of-court settlement procedure :
- Direct contact: contact@pro-xr.com - Claims department
- Internal mediation : Attempt at amicable resolution within a reasonable timeframe
- External mediation : Use of a professional mediator
- Legal action : Only as a last resort
11.3 Jurisdiction
These T&Cs being concluded exclusively between professionals, all disputes relating to their formation, interpretation or performance shall be submitted to the exclusive jurisdiction of Competent courts of Saint-Nazaire, notwithstanding a plurality of defendants or a third-party claim.

- International disputes : In accordance with applicable international conventions
11.4 Professional Mediation
As these T&Cs are reserved for professionals, no consumer mediation scheme applies. In the event of a dispute not resolved amicably, the parties may, by mutual agreement, call upon a professional mediator before any legal action is taken.
12. General provisions
12.1 Entire agreement
These GTC constitute the entire agreement between PRO-XR and the customer, except for specific conditions expressly agreed in writing as an addendum signed by both parties, simple exchanges by email not constituting opposable specific conditions.
12.2 Partial nullity
If any provision is found to be invalid or unenforceable, the other provisions shall remain in full force and effect.
12.3 Storage and archiving
Immergence Studio keeps the General Terms and Conditions applicable to each order for the legal retention period (10 years for invoices, 3 years for commercial data).
12.4 Force majeure
Immergence Studio shall not be held liable for failure to perform its obligations in the event of force majeure or exceptional circumstances beyond its control.
