3. Licensing terms and conditions

3.1 Available license periods

Our user licenses offer flexible access to suit different training needs:

3.2 Activation and use

License security :

  • Once activated, a license is linked to a specific exclusive and final to a specific device
  • This link guarantees data security and prevents unauthorized reinstallation.
  • Any attempt to circumvent these restrictions is strictly prohibited and constitutes a violation of these T&Cs
  • Violations will result in immediate and permanent license suspension., without any refund whatsoever

Conservation Responsibility: The client is solely responsible for the preservation and proper use of the device on which the license is activated. Immergence Studio shall not be held responsible for any loss of access resulting from the failure, loss, or destruction of the device not attributable to Immergence Studio.

3.3 User responsibility

  • The user is responsible for the correct installation of the license.
  • Activation must be performed on a compatible device (see list of recommended equipment).
  • Immergence Studio cannot be held responsible for any incompatibility resulting from equipment not recommended by Immergence Studio.
  • To ensure proper operation, the following minimum system requirements must be met

4.1 Available products

Immergence Studio offers equipment specifically designed to accompany its immersive solutions:

Commercial actual fire extinguishers (CO2 2Kg / Water 6L) made compatible with FAST XR via a proprietary passive attachment system

Augmented reality-enabled tablets and smartphones

📦 Complete kits

Packages including equipment, licenses, and onboarding support

4.2 Configuration and compatibility

Minimum recommended specifications :

  • VR headsets : Meta Quest 3 (recommended), HTC Vive Pro, Pico 4 Enterprise
  • Play area : 2m x 2m minimum for virtual reality
  • Login : Stable Wi-Fi (minimum 25 Mbps for streaming)
  • Lighting : Optimal ambient lighting for AR tracking

Warranty exclusions : The warranty does not apply in cases of misuse, unauthorized modification of the equipment, drops, or liquid damage. Any replacement is subject to prior technical validation by Immergence Studio and does not constitute a commitment to a timeframe.

5.1 Terms of payment

  • All orders: 50% deposit upon order confirmation, 50% balance upon delivery or license activation
  • Key accounts : Special conditions negotiated according to a framework agreement established in writing prior to any order

6. Return and refund policy

6.1 General principle

The products and services marketed by Immergence Studio are exclusively intended for professional clients acting within the scope of their professional activities. Every buyer expressly acknowledges and declares that they are acting as a professional within the meaning of the Consumer Code, and therefore waives any right of withdrawal provided for in Articles L.221-18 et seq. of the Consumer Code. As such, no returns or refunds will be accepted after order validation, except in cases of proven defects in the equipment directly attributable to Immergence Studio.

Important information:

  • Upon validating its order, the customer explicitly acknowledges acting as a professional and waives any consumer right of withdrawal
  • No right of withdrawal applies (B2B sales exclusively)
  • No returns for personal reasons, inconclusive tests or project changes will be accepted.
  • All purchases are considered Firm and definitive upon order validation
  • Immergence Studio reserves the right to refuse any order from an individual or non-professional entity.

6.2 Hardware

The equipment delivered is deemed to be compliant and functional. No returns will be accepted in the absence of a proven technical defect.

  • In the event of a technical fault: replacement or repair only
  • No refunds will be made

6.3 Digital licenses

Licenses are digital products that can be activated immediately:

  • Activated licenses are non-refundable
  • No cancellation after activation
  • An exchange can only be offered in the event of a proven technical problem.

6.4 Exceptional cases

Immergence Studio reserves the right, at its sole and complete discretion, to grant a commercial gesture in circumstances it deems exceptional. This right does not constitute, in any way, an obligation, a precedent, or the acknowledgment of a right to reimbursement or return.

7. Limitation of liability and warranties

7.1 Use and maintenance

Immergence Studio cannot be held responsible for damages resulting from :

  • Improper use : Misuse of training applications
  • Equipment not recommended: Uncertified or obsolete equipment
  • Unsuitable environment : Insufficient space, inadequate lighting
  • User negligence : Lack of maintenance, incorrect handling
  • Force majeure : Events beyond our control

7.2 Warranty of conformity

Our commitments:

  • Products meet advertised specifications
  • Applications tested and validated on recommended equipment
  • Compliance with current safety standards
  • Educational content maintained and improved according to technical and regulatory changes, without commitment to a defined frequency

7.3 Technical support

We offer comprehensive technical support to ensure :

  • Correct installation : Optimum equipment configuration
  • Optimum use : A setup session included with delivery, according to the terms defined in the quote
  • Preventive maintenance : Maintenance tips and best practices
  • Software developments : Immergence Studio strives to offer updates during the license period, without this constituting a contractual obligation regarding frequency or content.

8. Intellectual property rights

8.1 Ownership and Protection of Our Creations

Immergence Studio declares itself the author and owner of all intellectual property rights concerning its software solutions. These solutions were developed independently and are protected by the following rights:

  • FAST XR, HELP XR, Risk Hunter XR, Fault Line XR : Software and content
  • Algorithms and simulation engines : Proprietary technologies
  • Teaching content : Scenarios, exercises, assessments
  • Design and interfaces : Visual and ergonomic elements
  • Brands and logos : PRO-XR and communication elements

8.2 Formal prohibitions

Actions strictly prohibited:

  • 🚫 Unauthorized reproduction: Copying and duplicating software
  • 🚫 Reverse engineering : Decompilation, source code analysis
  • 🚫 Modification : Alteration of applications or content
  • 🚫 Redistribution : Resale and sublease of licenses
  • 🚫 Unauthorized commercial use : Operating without an appropriate license

8.3 Rights of use granted

The acquisition of a PRO-XR license grants only :

  • Right of use : Use in accordance with the license
  • Training your staff : Internal educational use
  • Integration into your programs : Under the terms of the license
  • Technical support : Assistance included for the duration of the license

8.4 Prohibition of commercial and competitive exploitation

Strictly prohibited actions without prior written agreement from Immergence Studio:

  • 🚫 Competition or award submission: The licensee is prohibited from presenting or highlighting PRO-XR solutions (FAST XR, HELP XR, Risk Hunter XR, Fault Line XR) within any application for an award, trophy, competition, or tender, without prior written authorization from Immergence Studio.
  • 🚫 Unauthorized public communication: All public communication (press, social media, events) referring to PRO-XR solutions as a differentiating or innovative element of the licensee's business must explicitly mention Immergence Studio as the publisher of the solution.
  • 🚫 Valuation among competitors: The licensee is prohibited from using PRO-XR solutions to develop, promote, or market a competing offering, directly or indirectly.

8.5 Penalties for Breach

Any infringement of our intellectual property rights may result in :

  • Immediate suspension of license
  • Civil and criminal proceedings
  • Damages and interest
  • No access to our future products

8.6 Hardware Product Protection

In addition to software protection, Immergence Studio also holds exclusive rights to the hardware products associated with its immersive solutions:

Protected products :

  • Enhanced fire extinguishers (actual commercial fire extinguishers equipped with our proprietary passive attachment system)
  • 🚒 Augmented fire hose (3-in-1 system)
  • ⚙️ 3D-printed parts and fastening systems
  • 📦 Complete teaching kits and customized accessories

8.7 Specific Prohibitions

Actions strictly forbidden without written authorization from Immergence Studio:

  • 🚫 Reproduction, copying or 3D printing of our parts, prototypes or fastening systems
  • 🚫 Fabrication or distribution of replicas, even partial ones, of augmented extinguishers or the augmented lance
  • 🚫 Marketing of any derivative product using our proprietary designs, concepts or technologies
  • 🚫 Use of our hardware products for reverse engineering or competitive development purposes

8.8 Enhanced Sanctions

9. Personal data protection

The use of our solutions involves the processing of personal data for training purposes. This processing is governed by our Privacy Policy available on pro-xr.com.

  • Minimal and transparent data collection
  • Advanced information security
  • Respect for all your rights (access, rectification, deletion)
  • Secure hosting in Europe
  • No resale of data to third parties

10. Modification of general terms and conditions

10.1 Possible developments

Immergence Studio reserves the right to modify its terms and conditions of sale in order to adapt :

  • Technical upgrades to our solutions
  • Regulatory changes
  • Improving our services
  • Developments in the VR/AR training market

10.2 Customer information

Notification procedure :

10.3 Acceptance of modifications

The new conditions apply:

  • Automatically for new orders as soon as they are published on pro-xr.com
  • Licenses renewed after the effective date
  • Continued use of PRO-XR solutions after publication of the new General Terms and Conditions is worth full and complete acceptance new conditions

11. Jurisdiction and applicable law

11.1 Applicable law

The present General Terms and Conditions of Sale are subject to the French law.

11.2 Dispute resolution

Amicable resolution procedure :

  1. Direct contact: contact@pro-xr.com - Claims department
  2. Internal mediation : Attempt at an amicable resolution within a reasonable timeframe
  3. External mediation : Use of a professional mediator
  4. Legal action : Only as a last resort

11.3 Jurisdiction

These GTC being concluded exclusively between professionals, any dispute relating to their formation, interpretation, or performance shall be submitted to the exclusive jurisdiction of Competent courts of Saint-Nazaire, notwithstanding a plurality of defendants or a third-party claim.

11.4 Professional Mediation

12.1 Entire agreement

These GTC constitute the entire agreement between PRO-XR and the client, except for specific conditions expressly agreed in writing in the form of an addendum signed by both parties; mere email exchanges do not constitute specific enforceable conditions.

12.2 Partial nullity

If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Storage and archiving

Immergence Studio keeps the General Terms and Conditions applicable to each order for the legal retention period (10 years for invoices, 3 years for commercial data).

12.4 Force majeure

Immergence Studio shall not be held liable for non-performance of its obligations in the event of force majeure or exceptional circumstances beyond its control.
